We search for businesses that meet your criteria using the “ABBA select” process.
“ABBA select” is our tailored service which includes a comprehensive search of businesses available for sale that meet your requirements.
We have access to businesses listed on the open market, but also to off-market sales which means a wider pool of inventory. ABBA Group can approach a business that is not for sale with an offer on your behalf.

If one of the businesses is suitable we will arrange to meet with the vendor and schedule a formal inspection of the business.

From this search we will compile a list of potential business opportunities that suit your brief before presenting them to you.

We will now commence the “due diligence” process.
Upon selecting a business, we will then further evaluate and assess it. Further documentation will be provided to your solicitor and accountant. The due diligence process is comprehensive and ensures the business is performing as reported. The process identifies any issues or problems with the business. In some cases this may identify that the business is not suitable to proceed with. In other cases, it may allow us to re-negotiate the purchase price.
At this point if a valuation is required ABBA Group will provide an opinion on value based on comparable sales data and future maintainable profit. The value of a business can be measured in various ways including - asset valuation, capitalised future maintainable earnings, earnings multiple or comparable sales.
ABBA Group is well-placed to provide an opinion on the value of a business based on comparable sales through our access to industry databases. If required however, we can also arrange a formal valuation by a Registered Business Valuer (AIBB).
Once all parties are satisfied we move to the next stage, negotiation.

We understand the process from the seller's point of view and use this knowledge to the buyer’s advantage, delivering a value-added service.
As part of the negotiation, we will firstly research why the vendor is selling the business and also establish a level of interest in the business by the general market. This will enable ABBA Group to develop a plan that will allow us to effectively negotiate for its purchase. ABBA Group will then provide a formal ‘Offer to Purchase’ to the vendor or agent.

Formalising the acquisition.
Once negotiations are finalised and terms have been agreed a sales advice will be prepared and issued to the respective solicitors. This will allow the vendor’s solicitor to prepare the contract of sale.
After a contract of sale is prepared ABBA Group will continue to work closely with you, your solicitor, the vendor and vendor's solicitor to finalise the contract amendments and reach a stage where all parties agree to proceed with the sale. Any challenges will be addressed along the way.
Following the formal exchange of contracts we then start working on obtaining landlord consent. This is also the timeframe to commence the trial period.

Preparing your application and the required documentation.
At this point we will begin discussions with the property landlord and/or franchise group regarding your suitability to either assign the existing lease or or be provided with a new lease.
This is a critical stage and ABBA Group can assist with completing all the required documentation. If required, a business plan and projected financials can also be prepared and provided to the property landlord or representative. A comprehensive and well-prepared application may even extend our tenure which is integral to future maintainable profit.
Failure to prepare this stage well can be crucial and after all this work a buyer’s application may be declined if the landlord does not consent. This is all done in accordance with the Retail Lease Practices Act.

We have achieved our goal in securing the right business for you.
Once contracts are exchanged, the trial has been conducted and we have gained landlord consent, ABBA Group will develop a suitable acquisition strategy to ensure a smooth transition.
If required, introductions are made to appropriate financial institutions for funding. On completion day ABBA Group can assist with the stocktake process or arrange for an independent party to be present during this process.
